These Terms of Use ("Terms") govern access to and use of the Ads.Center website and services available at www.ads.center (the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms.
1. Definitions

"Ads.Center", "we", "us", "our" – the owner and operator of the Platform.

"User" – any natural or legal person accessing or using the Platform.

"Advertiser" – a User who publishes advertisements on the Platform.

"Content" – any text, images, data, links, or other materials submitted or displayed on the Platform.

"Premium Services" – paid services that enhance advertisement visibility, including but not limited to featured placement, highlighting, or reposting.
2. Acceptance of Terms
By accessing, browsing, registering, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and any future amendments.
If you do not agree with these Terms, you must not use the Platform.
3. Platform Role
Ads.Center is an online advertising platform that enables Users to publish and view advertisements. Ads.Center is not a party to any transaction, agreement, or contract concluded between Users.
All transactions, communications, and disputes occur solely between buyers and sellers. Ads.Center does not guarantee the quality, safety, legality, or accuracy of any advertised goods or services.
4. Eligibility and User Accounts
To use certain features of the Platform, you must:

be at least 18 years of age;

have legal capacity to enter into binding agreements;

provide accurate and up-to-date registration information.
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.
5. Advertiser Responsibilities
Advertisers are solely responsible for:

the accuracy, legality, and completeness of their advertisements;
-
compliance with applicable laws, regulations, and advertising standards;
-
ensuring that advertised items or services do not infringe third-party rights.
Ads.Center reserves the right to refuse, edit, suspend, or remove any advertisement at its sole discretion.
6. Prohibited Content and Activities
Users must not publish, upload, distribute, or engage in Content or activities that:

are unlawful, fraudulent, misleading, deceptive, or constitute a scam;
-
infringe or violate intellectual property, privacy, or other rights of third parties;
-
contain malware, viruses, phishing links, social engineering techniques, or any code intended to compromise security;
-
impersonate or falsely claim affiliation with companies, brands, organizations, or individuals;
-
promote counterfeit goods, unauthorized services, or deceptive technical support;
-
advertise, promote, distribute, or link to software, applications, browser extensions, downloadable files, system utilities, security tools, or technical support services, unless explicitly authorized in writing by Ads.Center;
-
collect, harvest, or misuse personal data without lawful basis or consent;
-
interfere with, disrupt, overload, or attempt to gain unauthorized access to the Platform, its systems, or users;

are intended to bypass moderation, security, or enforcement mechanisms.
Ads.Center reserves the right, at its sole discretion and without prior notice, to:

remove or disable access to any Content;
-
suspend or terminate User accounts;
-
report suspected unlawful activity to relevant authorities;
-
cooperate with cybersecurity providers, hosting providers, and law enforcement.
Violation of this section may result in immediate and permanent restriction of access.
7. Premium Services and Payments
Ads.Center offers optional Premium Services intended solely to increase the visibility of advertisements. Premium Services may include, but are not limited to:
-
featured placement at the top of listings;
-
highlighted or colored advertisement titles;
-
reposting, refreshing, or prioritizing advertisements.
Premium Services do not guarantee:
-
sales, responses, conversions, or business results;
-
the legitimacy, quality, safety, or legality of any advertisement;
-
protection from fraud, scams, or interactions with malicious Users.
Visibility enhancements provided through Premium Services do not constitute endorsement, verification, or approval of the advertised Content by Ads.Center.
Premium Services are provided for the selected duration and fee as displayed at the time of purchase. Unless required by applicable law, all fees paid for Premium Services are non-refundable, including in cases where:

an advertisement is removed due to violation of these Terms;
-
an advertisement is withdrawn by the Advertiser;
-
an account is suspended or terminated.
Ads.Center reserves the right to modify, suspend, or discontinue Premium Services at any time.
8. Intellectual Property
All intellectual property rights related to the Platform, including design, software, trademarks, and content (excluding User Content), belong to Ads.Center or its licensors.
Users may not copy, reproduce, modify, or distribute Platform content without prior written consent.
9. User Content License
By submitting Content to Ads.Center, you grant Ads.Center a worldwide, royalty-free, non-exclusive license to use, reproduce, display, distribute, and promote such Content for the operation and marketing of the Platform.
You represent that you have all necessary rights to grant this license.
10. Privacy and Data Protection
Personal data is processed in accordance with applicable data protection laws and the Ads.Center Privacy Policy, which forms an integral part of these Terms.
11. Disclaimer of Warranties
The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis.
Ads.Center expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, security, accuracy, and availability.
Ads.Center does not warrant that:

the Platform will be uninterrupted, error-free, secure, or free of harmful components;
-
advertisements, Content, or communications are accurate, legitimate, or lawful;
-
the Platform will prevent exposure to fraudulent, misleading, or malicious Content.
Use of the Platform is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Ads.Center, its owners, affiliates, officers, employees, and partners shall not be liable for any:

direct, indirect, incidental, consequential, special, or exemplary damages;
-
loss of profits, revenue, data, goodwill, or business opportunities;
-
damages arising from interactions, transactions, or disputes between Users;
-
damages resulting from malicious software, phishing, fraud, or unauthorized access.
Ads.Center acts solely as a technical platform and shall not be responsible for verifying User identities, advertisements, or transactions.
Where liability cannot be excluded under applicable law, liability shall be limited to the minimum extent permitted.
13. Indemnification
You agree to indemnify and hold Ads.Center harmless from any claims, damages, or expenses arising from:

your use of the Platform;
-
your Content;
-
your violation of these Terms or applicable law.
14. Suspension and Termination
Ads.Center may, at its sole discretion and without prior notice:

suspend or terminate User accounts;
-
remove or restrict access to Content;
-
block access from specific regions, IP addresses, or networks;
-
take technical or legal measures to protect the Platform and its Users.
Suspension or termination may occur due to, including but not limited to:
-
violation of these Terms;
-
suspected fraud, abuse, or security threats;
-
requests from authorities or service providers;
-
protection of Platform integrity or reputation.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia.
The parties agree that disputes shall be subject to the exclusive jurisdiction of the courts of Latvia.
Ads.Center reserves the right to change the applicable governing law and jurisdiction in the future by updating these Terms.
16. Force Majeure and Cybersecurity Incidents
Ads.Center shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:

cyberattacks, hacking attempts, malware, phishing campaigns, or other security incidents;
-
actions taken by third-party security services, hosting providers, domain registrars, or regulatory authorities;
-
outages, interruptions, or blocks imposed by internet service providers, search engines, or security blacklists;
-
natural disasters, acts of war, terrorism, civil unrest, strikes, or governmental actions.
Such events shall not constitute a breach of these Terms.
17. Language and Prevailing Version
These Terms are published in the English language. If these Terms are translated into other languages, the English version shall prevail in the event of any inconsistency or discrepancy.
18. Amendments
Ads.Center may modify these Terms at any time. Updated Terms become effective upon publication on the Platform.
Continued use of the Platform constitutes acceptance of the updated Terms.
